Pennington Allen Partners LLC was founded by W. Lane Pennington and is engaged in the business of identifying, acquiring and developing business opportunities in the manufacturing, distribution, media, telecommunications and service industries through partnering with management teams and private equity firms and other investors. The Company is a successor to Whiterock Affiliates, also founded by Mr. Pennington. Over the past fifteen years, Pennington has had primary responsibility for identifying, negotiating, closing and subsequently operating in excess of 30 companies on five continents. More recently, Pennington has closed transactions exceeding $800 million of aggregate transaction value. Targeted investment opportunities currently range in size from $10 million to over $500 million.

Pennington also serves as the Vice Chairman of the Board of Directors of International Wire Group, Inc. (ITWG.PK), an $800 million manufacturer and distributor of copper wire products with facilities in the U.S., France and Italy. IWG was formerly a portfolio company of the private investment firm Hicks, Muse, Tate and Furst, and now is publicly registered and controlled by Tennenbaum Capital Partners, www.tennenbaumcapital.com and GSC Partners, www.gscpartners.com.

Pennington also serves as a management affiliate for the private investment firms Hicks, Muse, Tate and Furst, Tennenbaum Captial Partners and GSC Partners, and advises these firms and others on potential transactions and on the management and operations of certain of their portfolio companies.

For many years, Pennington was an Executive Vice President of Lennox International Inc (NYSE: LII) where he served as the President of Lennox Worldwide Heat Transfer and as the President of Lennox Asia Pacific. At Lennox, he had strategic and P&L accountability for operations exceeding $450 million in revenues with eight manufacturing plants and 3,500 employees located throughout the United States, Asia, Australia, Latin America and Europe.

Pennington served for ten years in several senior executive positions with Hilti International Corporation, a $2 billion privately held manufacturer and direct sales company of specialty products and services for the construction industry. From 1994 to 1997, he acted as the President of Hilti Asia Limited in Hong Kong where he had regional responsibility for Hilti's activities in Asia. During his tenure, Pennington was responsible for building the organization to $250 million in sales, establishing manufacturing operations in China and overseeing 2,200 employees in 14 countries. From 1993 to 1994, Pennington was the President of Hilti Canada Limited based in Toronto, Ontario. Prior to this assignment, he served for five years as the Vice President, Legal and General Counsel of Hilti Western Hemisphere in Tulsa, Oklahoma where he had chief legal responsibility for Hilti's operations in the U.S., Canada, Mexico and Latin America.

Pennington also has served as the President of IMCO International, Inc. (NYSE: IMR) and as the Executive Vice President of IMCO Recycling Inc. IMCO is the global leader in the processing of recycled aluminum and zinc with 21 production facilities in the U.S. and international operations based in Germany, Wales, Mexico and Brazil.

Pennington began his career in 1980 as an associate attorney with the firm of Holliman, Langholz, Runnels & Dorwart in Tulsa, Oklahoma. He was named a partner and shareholder in 1985 and in 1988 was elected to the board of directors of the firm. His primary areas of practice included general corporate and mergers and acquisitions. Pennington received a Martindale Hubbell Rating of AV, the highest level peer assessment rating for both competency and integrity.

Additionally, Pennington has served on the boards of directors of several privately held companies and in various civic and charitable organizations, including the Executive Board of Circle Ten Council (North Texas) of the Boy Scouts of America, the Board of Directors of Cascia Hall Preparatory School, and as a member of the Dallas Chapter and Tulsa Chapter of Young Presidents Organization. Pennington is a past member of the Boards of Directors of the Tulsa Philharmonic Society, Inc. and the Tulsa Boys Home.
